Terms of Service

This Terms of Service Agreement ("Agreement") is a binding legal contract between you ("Client" or "You") and Prime LLC, a company registered in the United Arab Emirates, Emirate of Sharjah ("Company," "We," "Us," or "Our").
1. The Service
1.1. Description
The Service is a B2B SaaS platform that provides an agentic AI system designed to manage and optimize Client's customer interactions on connected social media platforms. The Service includes a conversational AI agent, a data feedback and analysis system, a client dashboard, and associated reporting features.
1.2. Modifications
We reserve the right to modify or discontinue the Service (or any part thereof) at any time. We will provide reasonable notice of any material changes to the Service.
2. Subscriptions, Fees, and Payment
2.1. Subscription Tiers
The Service is offered under various subscription tiers as detailed on our pricing page. Features and limitations are specific to the selected tier.
2.2. Billing
You will be billed in advance on a recurring and periodic basis ("Billing Cycle"), either monthly or annually. Your subscription will automatically renew at the end of each Billing Cycle under the same conditions unless you cancel it or we cancel it.
2.3. Upgrades and Downgrades
Requests for subscription upgrades or downgrades can be made at any time. Any changes will take effect at the commencement of the next Billing Cycle.
2.4. Cancellations
You may cancel your subscription at any time. The cancellation will become effective at the end of your current Billing Cycle. You will retain access to the Service until the end of the Billing Cycle.
2.5. No Refund Policy
All fees paid are non-refundable. We do not provide refunds or credits for any partial subscription periods or unused services.
2.6. Payment
All payments are processed through a third-party payment processor. You agree to provide and maintain current, complete, and accurate billing information.
3. Client Responsibilities and Acceptable Use
3.1. Account Security
You are responsible for safeguarding your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.
3.2. Client Data
You are solely responsible for the accuracy, legality, and quality of all data, information, and content you provide or that is generated on your behalf through the Service, including conversations with your customers ("Client Data").
3.3. Prohibited Uses
You agree not to use the Service to:
- Engage in, promote, or facilitate any illegal, fraudulent, or harmful activities.
- Promote or sell products or services that are misleading, deceptive, or constitute a scam.
- Transmit any material that is libelous, defamatory, or hateful.
- Operate in prohibited industries, including but not limited to: adult content and services, illegal products or activities, political parties or campaigns, hate speech organizations, the financial sector (banking, lending, investment), government sectors, or gambling/casinos.
- Violate any applicable laws, regulations, or third-party rights, including privacy and intellectual property rights.
3.4. Right to Terminate
We reserve the right to investigate any potential violation of this Section 3. We may, in our sole discretion, immediately suspend or terminate your access to the Service without prior notice if we believe you have violated these terms.
4. Intellectual Property Rights
4.1. Our Intellectual Property
The Service, including our AI models, software, algorithms, methodologies, the Feedback System, all reports (including the comprehensive business analysis reports), graphics, and the "Prime" name and logos, are and will remain the exclusive intellectual property of Prime LLC.
4.2. Client Intellectual Property
You retain all ownership rights to your Client Data. You hereby grant Prime LLC a worldwide, non-exclusive, royalty-free license to use, process, reproduce, and analyze your Client Data solely for the purpose of providing, maintaining, and improving the Service for you.
4.3. Derived Data
We may collect, develop, and use aggregated, anonymized, or de-identified data derived from your use of the Service for our own legitimate business purposes, such as AI model training, service improvement, and industry analytics.
5. Human Takeover Feature
5.1. The Service includes a feature that allows you to pause the AI agent and take direct control of a customer conversation ("Human Takeover").
5.2. The system will log the precise time of the Human Takeover. From that moment, Prime LLC is no longer operating the conversation and shall not be responsible or liable for any communications, outcomes, damages, or liabilities arising from that specific interaction.
6. Disclaimers
6.1. "As-Is" Service
The Service is provided on an "AS IS" and "AS AVAILABLE" basis. We expressly disclaim all warranties of any kind, whether express or implied.
6.2. No Guaranteed Results
You acknowledge that any marketing language, including slogans such as "guaranteed results," "automate your entire team," or comparisons to human performance, are for illustrative and marketing purposes only. We do not guarantee that the Service will fully replace human oversight or achieve specific revenue outcomes. We hold no responsibility and shall not be liable for any failure to meet specific performance metrics, KPIs, revenue targets, or business goals.
6.3. AI Output
While we strive for high accuracy and minimal errors, you acknowledge that the Service uses Artificial Intelligence which may, in rare instances, produce incorrect, offensive, or misleading information ("Hallucinations"). You are solely responsible for monitoring the AI's interactions and verifying the accuracy of its outputs before relying on them. We accept no liability for any actions taken based on AI-generated content.
6.4. Client-Customer Relationship
You are solely responsible for all interactions, transactions, orders, and disputes between you and your customers. We are not a party to any transaction between you and your customers. We shall not be liable for any incorrect orders, pricing errors, refund requests, or disputes arising from the Service's interactions with your customers, regardless of whether such issues were caused by AI errors or Hallucinations.
7. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall Prime LLC, its directors, employees, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages. Our total aggregate liability to you shall not exceed the total amount of fees paid by you to us in the six (6) months preceding the event giving rise to the claim.
8. Indemnification
You agree to indemnify, defend, and hold harmless Prime LLC from and against any claims, damages, or expenses (including legal fees) arising out of: (a) your use of the Service; (b) your violation of this Agreement; (c) your violation of any third-party rights; or (d) any content or data (including Client Data) you process via the Service.
9. Governing Law and Dispute Resolution
9.1. Governing Law
This Agreement shall be governed and construed in accordance with the laws of the United Arab Emirates as applied in the Emirate of Sharjah.
9.2. Mandatory Arbitration
Any dispute, claim, or controversy arising out of or relating to this Agreement shall be referred to and finally resolved by binding arbitration under the Arbitration Rules of the Dubai International Arbitration Centre (DIAC).
10. General Provisions
10.1. Entire Agreement
This Agreement constitutes the entire agreement between you and Prime LLC regarding the Service and supersedes all prior agreements and understandings.
10.2. Notices
All legal notices to us must be sent to business@primerev.co.
10.3. Severability
If any provision of this Agreement is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law.
